CORPORATE PROFILE

Institutional Investors Consulting Company (IICC) is many things - a holding company, an investment bank, a boutique merchant bank and an investment advisory group.  IICC’s mission and vision is dedicated to assisting institutional tax-exempt funds and trusts manage themselves as efficient and cost-effective organizations.   Its primary shareholder is a not-for-profit Foundation, called the CFF for health and education, which is a 501-c-3 Trust.

IICC provides advisory/consulting services, investment banking / securities and real estate brokerage services to this constituency.  Its primary focus is to help its clients in the area of private (non traditional) investments. In order to accomplish this objective, starting in 1992, IICC has held 9 Conferences and over 30 Workshops with the objective of educating tax-exempt funds and family offices in the areas of investments, controls and administration and giving them an opportunity for strategic networking.  Currently, IICC is working closely with a number of strategic partners (both "for" and "not for" profit to establish a more comprehensive educational program for its clients.

An equally important objective of IICC is "to make the world a better place to live."  This short statement encompasses many, many important subsets such as -- World Peace; ending AIDS worldwide, primarily in Africa; ending famine worldwide, but again primarily in Africa; and providing affordable housing worldwide, but yet again primarily in Africa.   We believe and want to help poverty, sickness and famine worldwide, but also believe that we must start somewhere, and that "somewhere" for many reasons is Africa.  To narrow this down still further, our initial emphasis in Africa is in West Africa, and even more specifically in Nigeria and Ghana.  Other countries in Africa and other emerging countries in the world will be added to this list as time goes on.

As indicated above, IICC is also a "free" investment advisory group dedicated to assisting institutional tax exempt funds (ITEFs), manage themselves as efficient and cost-effective organizations responsive to the needs of their participants and beneficiaries.  IICC, provides: (1) advisory/consulting services, (2) investment banking and (3) securities and real estate brokerage services.  IICC thoroughly investigates new products, services and legislation that impact on the investment returns and benefits to ITEFS.  IICC represents or advises issuers and under-writers of public/private securities, banks and other financial service companies, real estate developers, foundations, endowments and closely held businesses as well as high net worth individuals.   Other IICC services include:

*Hosting conferences that focus on current institutional trends.
*Reducing trading costs while gaining efficiency in the stock market
*Assisting institutions in selecting investment managers
*Optimizing in-house resources


IICC, under the direction of its founder and chairman Leonard Chaikind, formerly the  Regional Treasurer for Royal Dutch Shell covering the Far East and Australasia and the  Administrator of the Shell Oil Pension Plan, has developed a number of strategic alliances.

One important one of these in the past was with the National Association of Real Estate Investment Trusts (NAREIT), since IICC believes that real estate in the form of REITs should be utilized in the portfolios of institutional investors.  Another is with a company called Petroleum India International (www.petroleumindia.com) which is a consortium of state owned Mega Oil Companies.  IICC has many, many other strategic alliances too numerous to mention in this short paper.

In order to "make some money and cover our expenses" IICC represents some unique investment management firms and some specific project clients who are seeking to redirect marketing efforts, enter different market segments or looking to expand market share.  In line with our focus, many of IICC's clients participate in alternative and nontraditional investment strategies, the fastest growing segment of institutional asset allocations.  IICC derives its primary compensation from clients that provide products and services to ITEFS.


MARKETING AND CONSULTING SERVICES

The demand for marketing and consulting services is a rapidly growing field. The principals of IICC rely upon more than 60 years in the institutional investment industry to provide clients with the ability to compete directly against larger traditional firms without the  significant  expense of  building an in-house marketing program. IICC's objective for meeting the unique challenges facing our corporate  clients, is  to offer  an entire  family  of  specialized  services geared to the sophisticated financial requirements of these clients.
